This document is an official offer (public offer) by SMMPanelRent, operating at smmpanelrent.com (the "Provider"), to enter into a paid services agreement for renting out a software platform on the terms below with any person who accepts it (the "Customer").
1. Subject of the agreement
The Provider gives the Customer access to a software platform (an SMM panel) for reselling social media promotion services, and maintains that platform. The panel runs on the Customer's own domain, under the Customer's brand, and is configured by the Customer: catalogue, prices, providers and payment methods.
The Provider supplies the infrastructure and is not the seller of services to the end customers of the Customer's panel. The Customer contracts with them in their own name and answers to them directly.
2. When the agreement is concluded
The agreement is concluded once the Customer performs any of the following (acceptance of the offer):
- registers an account at billing.smmpanelrent.com;
- creates a panel, including on the free plan;
- pays a rental invoice.
By doing any of the above the Customer confirms having read this offer, the Terms of Service, the Privacy Policy and the Refund Policy, and accepts them in full. The agreement is concluded electronically and has the same force as a written one.
3. Price and payment
The rental price depends on the volume of orders processed by the panel during the billing period, counted per panel. Current limits and plan prices are published on the website home page and form an integral part of this agreement.
A month in which the billable volume stayed within the free limit is not charged and no invoice is issued. Cancelled orders and orders fulfilled through the Provider's own catalogue are not counted as billable volume.
Payment is made against an invoice in the account area using one of the available payment methods. Payment system fees for the transfer are paid by the Customer unless the payment system states otherwise.
4. Provisioning time
No shipping is involved. The service is digital: access to the panel is provided remotely, at the Customer's domain and in their account area. No physical goods are delivered and there are no territorial restrictions on the Customer's location.
The panel is provisioned automatically once the domain is verified; the typical time is up to 24 hours from creating the panel in the account area, including issuing the SSL certificate. A paid rental period is counted as a calendar month.
The service is deemed delivered at the end of the paid billing period. No separate acceptance certificate is issued; if the Customer raises no substantiated objection within 5 calendar days of the period ending, the service is deemed accepted without remarks.
5. Rights and obligations
The Provider undertakes to keep the platform operational, to issue and renew the SSL certificate, to maintain backups and to provide technical support through the contacts published on the website.
The Customer undertakes to supply accurate registration data, to configure the contents of their own panel and to be responsible for its compliance with the law, as well as for their obligations to their own customers.
The Provider may suspend the panel if the Terms of Service are breached, having notified the Customer.
6. Refunds
The refund procedure, the request and review windows, the term and method of the actual payout, and the list of cases where no refund is issued are described on the Refund Policy page, which forms an integral part of this offer.
7. Liability
The Provider does not guarantee uninterrupted operation in circumstances beyond its control: outages at the Customer's service providers, payment systems, domain registrars and network operators. The Provider is not liable for the Customer's lost profit or for the quality of third-party services the Customer connects.
In any case the Provider's liability is limited to the amount paid for the billing period in dispute.
Neither party is liable for failure to perform caused by force majeure.
8. Personal data
How personal data is collected, processed and stored is described in the Privacy Policy, which forms an integral part of this offer. The Provider processes the data of a rented panel's customers on behalf of the Customer.
9. Validity and amendments
The offer is valid from the moment it is published and until it is withdrawn by the Provider. The Provider may amend it unilaterally; a new version takes effect once published on this page. A paid billing period is governed by the version in force on the payment date.
